COMMERCIAL LOCATION RELEASE

RELEASE AND INDEMNITY *

Warwick Furnace Farm LLC (Farm) hereby grants permission to Photographer/Filmmaker ("Content Creator") to enter the property located at 810 Warwick Furnace Road, Glenmoore PA 19343 (Property) during the agreed upon period for the purpose of a promotional shoot outlined below in the agreed upon locations of the Property and to bring onto the Property necessary photographic equipment, crew and talent (Creative Team). GRANT OF ACCESS: Creative Team shall have reasonable access to the grounds, buildings, fixtures, power outlets, utilities, and driveways. Said permission shall include the right of Creative Team to bring in camera(s), personal effects, props, catering, refreshments, audio visual tools as needed and to recover same from premises upon completion of work. MODIFICATION OF PROPERTY: Creative Team shall be responsible for any loss or damage to the property resulting from Creative Team’s exercise of rights under this agreement. Creative Team shall return the Property in the same condition it was in before access was granted. PAYMENT: The Content Creator hereby agrees to pay a rate of $250 an hour in advance or upon completion of the shoot. RIGHTS: As between the Farm and Content Creator, the Content Creator shall have sole rights in and to all photographs and video footage ("work"), in any form or medium, and all copies thereof, and all copyrights and other intellectual property rights therein, including the right to display, reproduce, make derivative works and otherwise exploit such work for commercial purposes; provided that (1) such photographs/video are taken within the scope of the permissions granted herein; (2) such photographs/video, derivative works, and their display, or other use comply with applicable law and are not presented in a manner intended to or with the effect of defaming, libeling or otherwise placing the Farm, it’s owners, principals or employees in a derogatory, disreputable, repugnant or otherwise unfavorable light. RELEASE AND INDEMNIFICATION: Content Creators and all persons accompanying them on the Property acknowledge that the Farm is a working farm and that hazardous conditions may arise from working conditions, activities, terrain, equipment, insects, animals and other conditions on the Farm that may result in damage or injury to person or property. Content Creators and Team agree to indemnify, defend and hold harmless Farm, its owners, principals and employees (Indemnitees) from and against all suits, claims, liabilities, losses, costs and expenses of Content Creator, Invitees, Indemnitees or any other person(s) arising from such damage or injury or otherwise from Content Creator’s or Teams’ presence or activities on the Property or in any manner from Content Creator’s photographs, video or derivative works thereof or their display, publication, use or other exploitation, whether for profit or otherwise. INSURANCE: Content Creator represents that he/she has in force customary photographer liability insurance covering liabilities arising from Content Creator’s activities on the Farm. Comprehensive general liability insurance with a combined single limit of at least $1 million for personal injury or property damage, naming Farm as an additional insured, and will, on request, provide Farm with a certificate of said insurance.
